DEFINITIONS

PTS Law Limited t/a Paper Trail Solutions
 
Principal(s)”
The Solicitor(s), Accountant(s) or other person or body contracting with PTS for the provision of services.
 
“Client(s)”
Any person(s) employing the services of the Principal(s).
 
“Fees”
All charges and/or disbursements incurred by PTS
 
“Contract”
The agreement between the principal and PTS for the provision of services.
 
“C.F.A.”
A Conditional Fee Agreement in such form as shall, from time to time, be approved by The Law Society

INSTRUCTIONS AND ACCEPTANCE

Until PTS have agreed to undertake the services required by the principal(s) and have, where deemed appropriate by PTS, inspected any statements, reports or other documents and agreed to provide the services required by the principal(s), no contractual relationship shall exist.

PTS reserve the right, without any explanation, to refuse to accept instructions in any particular case.

In the event of PTS declining to accept any particular instructions no fees will be charged in connection with the reading or consideration of any paperwork.

It shall be the responsibility of the principal(s) to take copies of any documents sent by them to PTS and all such documents shall be transmitted both to and from PTS either by Registered Mail or by Courier Service. PTS shall not be liable for the loss, however occasioned, of any document(s) while the same shall be in their possession, custody or power.

CO-OPERATION

The principal(s) agree to co-operate with PTS in providing such additional information as may, from time to time, be necessary to enable PTS to provide the service(s) required and to obtain such further or additional statements or reports as may be required for such purpose. Where appropriate, the principal(s) shall allow PTS direct access to any client, carer or witness (whether expert or otherwise) of such client for the purposes of obtaining information essential to the preparation of any report. PTS shall make no approach to any such person(s) other than through the principal(s).

PAYMENT

Payment of PTS’ fees shall fall due 30 days from the date of issue unless a variation to this term has been agreed in writing. The possibility of an interim payment being required from the principal shall be intimated in writing by PTS prior to entering into the contract. In the event that the principal is acting under a C.F.A. this fact shall be made known to PTS and it shall be an implied term of the contract that an interim payment will be applied for within 90 days. Where appropriate, it shall be an implied term of any contract that the principal will make application to The Legal Services Commission for payment of any invoice issued by PTS within 30 days of the date of such invoice

TERMINATION

PTS reserve the right, in the event of any breach of either or both of the last two referred to conditions, upon 7 days notice, to terminate the contract whereupon any fees then outstanding shall become payable forthwith.

INTEREST ON OUTSTANDING FEES

Any fees remaining unpaid upon the expiration of the date upon which they shall fall due for payment shall attract interest at 5% above the Bank of England base rate.

PRIVACY & CONFIDENTIALITY

PTS will respect the confidentiality of any statements, reports or other documents whether the same are in, or have ever been in their possession.

Any personal information held by PTS will be held securely. All reasonable steps will be taken to keep such information secure and confidential from unauthorised access, misuse or loss. Any such information will be used and / or disclosed for the purposes for which it was obtained or in the event of it being necessary to comply with any legal requirement or for any other purposes for which consent has been expressly obtained.

LIABILITY

PTS shall not be liable for the inaccuracy, whether of any information or pricing supplied by a third party or of any opinion expressed by any Consultant sub-contracted to furnish any report and the principal(s) undertake to indemnify and to keep indemnified PTS against any claims arising from any such inaccuracy.
